You understand and agree that by accessing and/or using the VideoAmp Offerings, you are accepting (a) that such VideoAmp Offerings are provided on an “as is” and “as available” basis, with any and all defects, errors, omissions, and flaws that may be contained therein, and (b) the disclaimers and statements provided herein, and are assuming all risks associated with your access and/or use of such VideoAmp Offerings. VideoAmp hereby expressly disclaims all warranties, whether express or implied, including but not limited to, any implied warranties of merchantability, fitness for a purpose, currentness, accuracy, quality, integrity, timeliness, or completeness. Further, VideoAmp does not warrant in any way that the VideoAmp Offerings will meet your requirements or expectations, or that the VideoAmp Offerings (including, but not limited to, any reports and/or data included therein) will be uninterrupted, error-free, or that any defects will be corrected. You expressly agree that you will be responsible for any action you take (or refrain from taking) based on your use of such VideoAmp Offerings and that the VideoAmp Offerings will be used for informational purposes only. You understand that the VideoAmp Offerings are based on, among other things, third party data, information, estimates, and are subject to certain methodological processes believed to be reliable. VideoAmp reserves the right to (but is not obligated to), in its sole discretion, replace, modify, restate, delete, or change, the VideoAmp Offerings, in any way and in whole or in part (including in relation to any supplier or support function), at any time and without prior notice, including in order to be in compliance with supplier agreements and/or applicable laws. Notwithstanding anything to the contrary, all VideoAmp Offerings and deliverables are for Customer’s internal use unless otherwise expressly permitted, and may only be used for the purposes intended between the parties.
You expressly acknowledge and agree that this Offerings Disclaimer, in its entirety, supersedes any conflicting terms in any other agreement relating to the same subject matter.
